CORPORATE LAW
Corporate law is one of our core areas of expertise. We assist, among other things, with legal matters related to ownership and governance, such as the drafting of shareholders’ agreements and guidelines on good corporate governance.
We also participate in the work of company boards by acting as board secretary or as a member of the board, and we serve as chair of shareholders’ meetings.
In addition, we assist with corporate mergers, demergers, and liquidations, share redemptions, share issues, and other corporate law arrangements related to capital raising.
COMMERCIAL AGREEMENTS
The primary purpose of contracts is to manage and limit legal risks, but they must also be clear and practical in their application.
We assist in the drafting, review, and negotiation of a wide range of commercial agreements. These may include sale and purchase agreements, letters of intent, purchase or supply agreements, cooperation agreements, shareholders’ agreements, distribution agreements, or real estate–related agreements such as development agreements, commercial lease agreements, land lease agreements, or construction contracts. Agreements may be drafted in Finnish or English.
FINANCING ARRANGEMENTS
We assist our clients, among other things, with debt and equity financing arrangements related to corporate and real estate transactions, as well as with the negotiation and drafting of agreements relating to the financing of companies’ ordinary business operations.
We draft and negotiate loan agreements, pledge agreements and guarantees, as well as other financing-related agreements. Where necessary, we also prepare the corporate law resolutions related to financing arrangements.
We assist, among others, companies in need of financing, investors, and real estate developers. We can also assist in structuring financing arrangements, where necessary drawing on our network of experts.
