CORPORATE LAW
Corporate law is one of our core areas of expertise. We advise on a wide range of ownership and governance matters, including the drafting of shareholders’ agreements and guidelines on good corporate governance, as well as their practical implementation.
We also support the work of company boards by acting as board secretary or serving as a board member, and we chair shareholders’ meetings when required.
In addition, we assist with corporate restructurings such as mergers, demergers, and liquidations, as well as share redemptions, share issues, and other corporate law arrangements related to capital raising.
COMMERCIAL AGREEMENTS
The primary purpose of contracts is to manage and mitigate legal risks, but they must also be clear, practical, and workable in day‑to‑day use.
We assist in the drafting, review, and negotiation of a wide range of commercial agreements. These include sale and purchase agreements, letters of intent, purchase and supply agreements, cooperation agreements, shareholders’ agreements, distribution agreements, and real estate–related contracts such as development agreements, commercial lease agreements, land lease agreements, and construction contracts. Agreements can be prepared in either Finnish or English.
FINANCING ARRANGEMENTS
We assist our clients with a wide range of debt and equity financing arrangements related to corporate and real estate transactions, as well as with the negotiation and drafting of agreements supporting the financing of day‑to‑day business operations.
We draft and negotiate loan agreements, pledge agreements, guarantees, and other financing‑related contracts. Where required, we also prepare the corporate resolutions necessary to implement financing arrangements.
